4. Account and Access

Portal access uses Google Authentication. Users are responsible for the security of their Google account.

5. Acceptable Use

Users must not use the service for any Excluded Industry (alcohol, gambling, adult, cannabis), send unsolicited bulk messages, impersonate another person or business, reverse-engineer the platform, resell without a written agency agreement, or violate applicable law.

6. Client Obligations

Clients are responsible for their qualification questions and FAQs, for complying with data protection law, for their own Meta billing relationship, and for not configuring the chatbot to collect information they are not lawfully entitled to collect.

7. Intellectual Property

LeadWise AI owns all rights to the platform, the two engines, source code, and brand. Clients own their business data. Prospects retain rights to their own personal information.

8. Fees and Billing

11. Termination

12. Disclaimers

The service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

LeadWise AI does not guarantee any specific number of leads, qualification rate, or business outcome. We do not warrant that the service will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected.

We are not responsible for Meta's, Google's, TikTok's, LinkedIn's, or any other third-party platform's decisions regarding a client's account, ad delivery, messaging access, or policies.

Any advice, guidance, or material obtained through the service is used at your own discretion and risk, and you are solely responsible for any damage to your business, systems, or data resulting from its use.

13. Limitation of Liability

To the maximum extent permitted by applicable law, LeadWise AI's total aggregate liability arising out of or in connection with these Terms or the service, whether in contract, delict, statute, or otherwise, is limited to the total fees paid by the client to LeadWise AI in the twelve (12) months immediately preceding the event giving rise to the claim.

LeadWise AI is not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, anticipated savings, data, goodwill, or business opportunity, however caused and regardless of the theory of liability, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under South African law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where such limitation would be unlawful.

Where a client has entered into a Service Agreement with LeadWise AI, and that Service Agreement contains a limitation of liability clause, the terms of the Service Agreement prevail to the extent of any conflict with this section.
